Terms of Service

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements and that the information you provide is accurate.

2. Your Account

You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us immediately at support@speakeasyledger.com if you believe your account has been compromised. We are not liable for any loss caused by unauthorized use of your account.

3. Subscriptions and Billing

The Service is offered on a subscription basis. By subscribing, you agree to the following:

• Fees. You agree to pay the subscription fees described at checkout. Fees are billed in advance on a recurring basis (monthly or annually, depending on the plan you select) and are non-refundable except as expressly stated in Section 4.
• Payment processing. All payments are processed by Stripe, Inc. By providing payment information, you authorize us and Stripe to charge your selected payment method for the applicable fees, including any taxes.
• Automatic renewal. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel at any time through your account's billing portal.
• Price changes. We may change subscription prices from time to time. If we increase the price of your plan, we will give you at least 30 days' notice by email before the change takes effect. Continued use after the change constitutes acceptance of the new price.

4. Free Trials and Refunds

• Free trials. We may offer free trials of the Service. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan and your payment method will be charged.
• Refunds. Subscription fees are generally non-refundable. If you believe you have been billed in error, contact us at support@speakeasyledger.com within 14 days of the charge and we will review your request in good faith. Refunds, if granted, are at our discretion.
• Cancellation. You may cancel your subscription at any time. Cancellation stops future billing but does not refund the current billing period. You will retain access through the end of the period you have already paid for.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Upload or transmit viruses, malware, or any code intended to disrupt or damage the Service
• Attempt to gain unauthorized access to the Service, other accounts, or our systems
• Reverse-engineer, decompile, or copy any part of the Service except as permitted by law
• Resell, sublicense, or otherwise commercially exploit the Service without our written permission
• Use the Service to harass, defraud, or harm others
• Submit information you do not have the right to submit, or that infringes the rights of any third party

We may suspend or terminate accounts that violate this section.

6. Your Content and Data

You retain ownership of all data you enter into the Service ("Your Content"). You grant Speakeasy a limited, non-exclusive license to host, store, process, and display Your Content solely as needed to provide and improve the Service.

You are responsible for the accuracy and legality of Your Content. You should maintain your own backups of important data.

7. Our Intellectual Property

The Service, including its software, design, branding, and content (other than Your Content), is owned by Speakeasy or its licensors and is protected by copyright, trademark, and other laws. We grant you a limited, non-transferable, non-exclusive license to use the Service for your internal business purposes during your active subscription. No other rights are granted.

8. Third-Party Services

The Service integrates with third-party providers, including Stripe for payment processing. Your use of these third-party services is governed by their own terms and privacy policies. We are not responsible for the acts or omissions of third parties.

9. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or secure, or that any data will be accurate or preserved.

The Service is a tool to help you organize financial information. It is not a substitute for professional accounting, tax, legal, or financial advice. You are responsible for ensuring your records and filings comply with applicable laws.

10. Limitation of Liability

To the fullest extent permitted by law, Speakeasy and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service.

Our total liability for any claim arising out of these Terms or the Service will not exceed the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless Speakeasy and its officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Service, (b) Your Content, or (c) your violation of these Terms or any law.

12. Termination

You may stop using the Service at any time by canceling your subscription. We may suspend or terminate your access at any time if you violate these Terms, fail to pay fees, or for any other reason at our reasonable discretion. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive (including Sections 6, 7, 9, 10, 11, and 14) will survive termination.

13. Changes to the Service

We are continuously improving the Service and may add, change, or remove features at any time. We will give reasonable notice of material changes that adversely affect your use.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Rhode Island, USA, without regard to its conflict-of-laws rules. Any dispute arising out of these Terms or the Service will be resolved in the state or federal courts located in Rhode Island, and you and Speakeasy consent to the personal jurisdiction of those courts. (If you are based outside the United States, mandatory consumer-protection laws of your country of residence may also apply.)

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice in the Service at least 14 days before the change takes effect. Continued use of the Service after the change constitutes acceptance of the updated Terms.
